These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Sidwell Consulting Group ("we," "us," or "our"), concerning your access to and use of the sidwellconsultinggroup.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

1. Agreement to Terms

By accessing the Site, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Our Services

Sidwell Consulting Group provides operational consulting, monthly performance reporting, data and labor intelligence, and advertising management services for travel centers, retail, and restaurants.

• Discovery Calls: We offer free 20-minute discovery calls to discuss your operational challenges. These calls do not constitute a formal consulting agreement or guarantee specific outcomes.
• Operational Audits: Paid operational audits are governed by separate, specific service agreements outlining the scope, deliverables, and payment terms.
• Monthly Recurring Services: Performance reports, data intelligence, and advertising management are provided on a recurring basis, subject to separate agreements.

3. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

4. User Representations

By using the Site, you represent and warrant that:

• All registration or contact information you submit will be true, accurate, current, and complete.
• You have the legal capacity and you agree to comply with these Terms.
• You will not use the Site for any illegal or unauthorized purpose.
• Your use of the Site will not violate any applicable law or regulation.

5. SMS Communications

By providing your mobile phone number, you consent to receive SMS messages from Sidwell Consulting Group related to appointments, service inquiries, and follow-ups.

• Opt-In: Consent is obtained when you submit your phone number through our booking forms (e.g., Calendly) or contact forms.
• Message Frequency: Message frequency varies based on your interactions and scheduled appointments.
• Opt-Out: You may opt out at any time by replying STOP to any message. We will send a final confirmation message before removing you from our SMS list.
• Help: Reply HELP for assistance or contact us at splum@sidwellconsulting.com.
• Carrier Rates: Message and data rates may apply depending on your mobile carrier plan. We are not liable for any delays in the receipt of any SMS message.

6. Limitations of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our services, even if we have been advised of the possibility of such damages.

7. Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Illinois applicable to agreements made and to be entirely performed within the State of Illinois, without regard to its conflict of law principles.
